Terms and Conditions of Sale
These Terms govern quotations, orders, invoices, and sales by MT.parts LLC. The English version controls. Consumers may have mandatory rights that cannot be waived.
1. Who We Are and Scope
These Terms and Conditions of Sale govern all quotations, orders, confirmations, invoices, and sales of products by MT.parts LLC, a North Carolina limited liability company, to the purchaser. They apply to purchases through mt.parts and to orders submitted by email or purchase order.
2. Independent Distributor Status
MT.parts is an independent distributor operating in the secondary and surplus market for industrial automation components. Unless expressly stated in writing for a specific brand or transaction, we are not an authorized distributor, dealer, agent, affiliate, representative, or service provider of any manufacturer.
3. Trademarks and Manufacturer References
Manufacturer names, trademarks, logos, part numbers, and product descriptions belong to their respective owners. We use them only to identify genuine goods offered for resale. Such use does not imply affiliation, sponsorship, approval, certification, licensing, or authorization.
4. Acceptance and Entire Agreement
By accepting these Terms, placing an order, or accepting delivery, Buyer agrees to these Terms. Conflicting or additional terms in a purchase order, vendor portal, or other Buyer document are rejected unless accepted in a writing signed by an authorized officer of MT.parts.
5. Inventory Sources and Product Condition
Products may come from factory surplus, excess inventory, plant decommissioning, MRO liquidation, trade-ins, and buybacks. Each item is sold under a stated condition grade.
5.1 Condition Grades
New Surplus — Factory Sealed means unused and unopened in original sealed packaging. New Surplus — Open Box means unused, but packaging may be opened, incomplete, damaged, missing, or replaced. Refurbished means previously used and reconditioned by a third party before acquisition by MT.parts. Used — Untested means previously installed or used and sold in the condition received.
5.2 Inspection Before Shipping
MT.parts performs a visual inspection only. We do not power, energize, bench-test, functionally test, repair, reprogram, modify, or recondition products before shipment. Visual inspection cannot detect internal defects, electrical faults, firmware issues, or latent damage.
5.3 Refurbished Products
Reconditioning of products graded Refurbished was performed by a third party before MT.parts acquired the product. MT.parts did not supervise the work and does not represent what work, standards, components, or qualifications were involved.
5.4 Differences from Authorized-Channel Products
Products may carry no manufacturer warranty, support, software entitlement, registration rights, traceability, current date codes, original packaging, accessories, manuals, or certificates. Hardware, firmware, series, or country of manufacture may differ from current production.
5.5 Counterfeit Concerns and Original Markings
A Buyer who reasonably suspects a counterfeit product must notify [email protected] immediately and must not resell or install it. Confirmed counterfeit products will be refunded, including shipping. Original serial numbers, labels, date codes, and manufacturer markings must not be removed or altered.
6. No Manufacturer Warranty, Support, or Licensing
Products do not include manufacturer warranty, technical support, service entitlement, software licensing, firmware activation, updates, or registration rights. The only commercial warranty is the MT.parts limited warranty stated below.
7. Order Acceptance and Pricing
An order is an offer to purchase. A contract is formed only when MT.parts issues an order confirmation or ships the products. Prices are in U.S. Dollars and exclude taxes, duties, and shipping unless stated otherwise. Quotations are generally valid for 30 days unless otherwise stated.
8. Payment and Taxes
Orders are prepaid unless otherwise agreed in writing. Card payments are handled by third-party payment providers. Buyer is responsible for applicable sales, use, excise, value-added, import, brokerage, customs, and similar charges unless a valid exemption applies.
9. Shipping, Title, and Risk of Loss
Shipping terms are shown at checkout or in the quotation. Unless mandatory law provides otherwise, title and risk of loss pass when products are delivered to the carrier. Delivery dates are estimates, and MT.parts may ship in installments. International Buyers are responsible for import clearance and destination-country compliance.
10. Inspection on Delivery
Buyer must inspect products promptly. Shortages, incorrect items, or visible shipping damage must be reported within five business days; concealed damage within ten business days. Photographs of products, packaging, and shipping labels may be required. Packaging should be retained until the claim is resolved.
11. Limited Warranty
For the original Buyer, New Surplus products are covered for 12 months from shipment; Refurbished and Used — Untested products are covered for 90 days. The sole remedy is, at MT.parts' option, replacement with a functionally equivalent product or refund of the purchase price.
11.1 Warranty Exclusions
The warranty does not cover normal wear, consumables, misuse, accident, improper storage or installation, wiring or grounding errors, over-voltage, surge, contamination, corrosion, liquid ingress, unauthorized repair, modification, disassembly, altered labels, or software, firmware, licensing, compatibility, and configuration issues.
12. Returns, RMA, and Cancellations
All returns require an RMA issued in advance. RMA requests must generally be submitted within 30 days of the invoice date. Non-defective returns may be subject to a 25% restocking fee, and shipping costs are normally non-refundable. Special-order items, installed or energized products, broken factory seals, and products with altered serial or identification labels are non-returnable. Orders cancelled before shipment are refunded in full.
13. Disclaimer of Warranties
Except for the express limited warranty and rights that cannot legally be excluded, products are provided “as is” and “with all faults.” MT.parts disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and compatibility.
14. Suitability and Prohibited Uses
Buyer is responsible for product selection, design, installation, integration, programming, commissioning, maintenance, and safety. Products must not be used in nuclear, aerospace, air traffic control, life-support, implantable medical, weapons, or other applications where failure could cause death, injury, catastrophic property loss, or environmental damage.
15. Limitation of Liability
To the maximum extent permitted by law, MT.parts is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profit, revenue, data, or use; downtime; shutdown; delay; substitute goods; or third-party claims. Aggregate liability is limited to the amount paid for the specific product giving rise to the claim.
16. Indemnification
Business Buyers must defend, indemnify, and hold MT.parts harmless from claims arising from their use, resale, installation, integration, modification, breach of these Terms, trade-law violations, or prohibited applications. This provision does not apply where prohibited by consumer law.
17. Intellectual Property and Embedded Software
Sale of a product grants no intellectual-property license. Embedded software and firmware remain subject to the owner's license terms. Buyer is responsible for obtaining any required license, activation, update, or support entitlement.
18. Export Control and Trade Compliance
Buyer must comply with U.S. export controls, sanctions, and all applicable import and export laws. Products may not be transferred to restricted parties, destinations, or prohibited end uses. MT.parts may delay, suspend, or cancel orders that present compliance concerns.
19. Force Majeure
MT.parts is not liable for delay or failure caused by events beyond reasonable control, including natural disasters, fire, flood, epidemic, war, terrorism, civil unrest, labor disputes, government action, embargoes, sanctions, tariffs, customs delays, carrier delays, cyberattacks, utility failures, or shortages.
20. Privacy and Electronic Communications
Personal information is handled under the MT.parts Privacy Policy. Buyer agrees to receive transactional communications electronically and agrees that electronic acceptance may constitute a valid signature where permitted by law.
21. EU and UK Consumer Rights
EU and UK consumers buying mainly outside a business may have a 14-day withdrawal right, mandatory legal conformity guarantees, and remedies under local law. Mandatory consumer rights prevail over conflicting provisions of these Terms.
22. Governing Law and Disputes
These Terms are governed by North Carolina law, excluding conflict-of-laws rules and the CISG. The parties should attempt good-faith negotiation for 30 days. Subject to mandatory consumer rights, unresolved disputes must be brought in state or federal courts in Mecklenburg County, North Carolina.
23. General Provisions
Buyer may not assign an order without written consent. Invalid provisions will be narrowed or severed without affecting the remainder. Failure to enforce a right is not a waiver. The version in effect when an order is placed governs that order. The English version controls over translations.
